Partner Agreement

The terms of the Bot Listener partner and reseller programme.

About this agreement

This agreement is between HUF of Udaybhan Rajbhar ("Bot Listener") and you, the partner. It applies alongside our Terms and Conditions (https://botlistener.com/terms-and-conditions).

Joining

You join by signing up on the partner portal and verifying your email. Bot Listener may refuse or suspend a partner account at its discretion.

What partners do

Partners create client accounts and buy plans for them from the partner portal. The partner is billed for these plans. Clients do not see Bot Listener's prices or invoices.

Tiers and commission

  • Bronze: 2–5 active clients, 20% commission
  • Silver: 6–20 active clients, 25% commission
  • Gold: 21–49 active clients, 30% commission
  • Platinum: 50+ active clients, 35% commission

Clients on quarterly billing earn an extra 2%, and clients on annual billing an extra 5%. Commission is calculated on the plan's base price, excluding GST.

An active client is a client account in good standing with a live plan.

Commission and payouts

  • With only 1 active client, you earn commission at the Bronze rate, but it is locked and not paid out. Once you have 2 active clients, all locked commission is released, and new commission is payable from then on.
  • Commission is approved by Bot Listener before it is paid.
  • Payouts are made monthly, in the first week of the following month (for example, commission for October 2026 is paid in the first week of November 2026).
  • TDS is deducted from payouts as Indian tax law requires.
  • No commission is paid on payments that are refunded. Commission already paid on a refunded payment may be deducted from a later payout.

Custom Plus

Custom Plus plans are available only to white-label partners. They earn no commission and do not count toward your tier.

White label

White label is included for Platinum partners, or available as a paid add-on for a set period. It covers your logo, brand name, colour theme and custom domain. You are responsible for your brand, your domain and anything published under them.

White-label partners can create one client account with a free trial of the plan they choose. After the trial, the plan is paid as normal.

Client support

You provide first-line support to your clients. Bot Listener supports you, and may contact your clients directly where needed to resolve a technical, billing or policy issue.

Clients' data

You must have each client's consent to create and manage their account and to access their data. Bot Listener processes clients' data under the data processing terms in our Terms and Conditions: https://botlistener.com/terms-and-conditions

Bot Listener's rights

  • Reassign a client to Bot Listener or another partner, for example if the client asks or you stop supporting them.
  • Suspend a client or partner account for abuse or a breach of our policies.
  • Change tiers, commission rates or programme terms with 30 days' notice. Changes do not affect commission already earned before the change takes effect.

Marketing rules

  • No false or misleading claims about Bot Listener, its features or its prices.
  • Use the Bot Listener name and logo only as we allow, and do not imply you are Bot Listener.

Ending the partnership

Either side can end the partnership by written notice. When it ends, your clients' accounts continue and may be moved to Bot Listener or another partner. Approved commission is paid at the next payout, unless the partnership ended because of your breach. White-label branding and custom domains are switched off.

Liability, confidentiality and governing law

The limitation of liability in our Terms and Conditions applies to this agreement. Each side keeps the other's non-public information, including prices, commission rates and client data, confidential. This agreement is governed by the laws of India, and the courts in Mumbai, Maharashtra have exclusive jurisdiction.
